Job responsibilities include (but are not limited to):
Prepare and file statutory returns, forms, and other required documents with regulators (e.g., Companies House, CIPC JSE, LSE).
Maintain statutory registers and records, including those for shareholders, directors, and secretaries.
Monitor changes in legislation and recommend actions to ensure compliance.
Assist in organising board and committee meetings, including preparing agendas, circulating materials, and taking minutes and action lists.
Draft resolutions and maintain accurate records of board decisions.
Ensure timely dissemination of information to directors and stakeholders
Support the implementation of governance frameworks and compliance with governance codes.
Assist in drafting and updating corporate policies, procedures, charters, terms of reference and work plans.
Arrange the payments to directors for directors' fees and reimbursements.
Conduct research on governance trends and provide recommendations to enhance practices.
Managing Trustee and shareholder meetings, including issuing notices, logistics and handling proxies for the Employee Share Ownership Plan.
Assist with the nomination process in conjunction with People and Organisation function for the appointment and resignation of Trustees of the Employee Share Ownership Plan.
Assist with the arrangements of the Valterra AGM, including notices, Chairmans script, logistics and handling proxies and subsequent announcement of results preparation.
Update shareholder records and facilitate dividend payments or share transactions.
Address shareholder inquiries regarding company structures, unclaimed dividends, deceased estates and company decisions.
Maintain insider lists in order to disseminate communication to necessary persons of closed periods.
Monitor and assess compliance risks, escalating concerns as necessary.
Assist in preparing governance reports or compliance reports for internal and external stakeholders.
Contribute to audits and internal reviews related to governance and compliance matters.
Act and standin for the Manager: Company Secretarial at times of unavailability.
Qualifications
Tertiary qualification
: LLB/CIS or equivalent. Registered with the Chartered Governance Institute of Southern Africa
Experience
5 -7 years' experience in a company secretarial, compliance, or corporate governance role.
Solid understanding of company law, corporate governance principles, and regulatory compliance.
Familiarity with statutory and governance software (e.g. Diligent).
Expose to cross-board compliance and mutli jurisdiction governance would be and advantage
Identify new methods to ensure productive and safe work and achieve plans.
Monitor benchmarks and identify performance gaps.
Ability to manage work packages across a portfolio of project activities.
Proficient in leading and managing through crisis, transformation, and change.
