Manages end-to-end dealings with legal intermediaries and clients to support successful and efficient setup of SPVs and closing of Debt Capital Markets and Aviation Transactions (the "
Transactions
"). Assist with queries arising during the course of the Transactions, and over the life-cycle of the SPVs. Maintains a keen eye on mitigating risk to TMF and TMF nominated directors arising from Transactions, helping to ensure regulatory obligations are identified and fully complied with. Ensures TMF's clients are provided with an efficient, professional and high quality of service which meets all of their obligations, striving for flawless client service. Act as a primary point of conact for our external legal intermediaries ensuring timely and efficient delivery of services to clients.
Key Responsibilities
Act as primary point of contact with external legal intermediaries for all legal and regulatory matters;
Support the Head of Transaction Review in scrutinising and commenting on Transaction documents to mitigate risks to TMF and the TMF nominated directors of SPVs;
Provide corporate administrative expertise and guidance regarding the Transactions, acting as a point of escalation both for clients and within TMF;
Drafting of corporate services agreements, supporting the Head of Transaction review in negotiating pressure points with transaction party counsel, and ensuring that all services are fully documented and obligations are clear;
Identify risks in relation to the Transactions, and ensure full compliance with local and European level regulatory requirements;
Keep up to date on regulatory changes impacting the Debt Capital Markets industry, with a keen eye on non-regulated and regulated funds services, and corporate matters.
DraftingTMF Ireland deliverables including but not limited to process agent appointment letters & declarations of trust;
Work closely with other teams in TMF Group, including but not limited to, the Transactions Services team, the Entity Management team, the Client Accounting team and TMF nominated Directors of SPVs, in order to achieve flawless service;
Ensure TMF meets our obligations to clients, ensuring that all tasks required to effectively close the Transactions within required timelines are completed efficiently and professionally;
Provide exceptional customer service whilst being decisive, firm and empathetic with customers;
Support business development through following 'Our Service Promise' delivery guidelines for relationship management and work to build your own and TMF's network in the industry where you will be dealing with lawyers, tax advisors, banks, custodians, investment managers and other key partners;
Identify and act on opportunities for cross-selling and up-selling of TMF Services, or billing for out of scope items, ensuring effective communication with the Services Team to capture additional fees;
Adhere to TMF internal procedures and ensure compliance by the team with TMFs Risk and Control framework and processes;
Align service delivery with TMF policies and objectives;
Support the Head of Transaction Review Group in maintaining, reviewing and improving internal controls and policies
Assist with managing the workload of the team, assigning or re-assigning clients and portfolio and tasks as required.
Key Requirements
A background in law or a closely related field is desirable;
Capital markets experience is desirable;
Experience in a compliance or company secretarial department is also desired, or alternatively experience at a corporate services provider or within the debt capital markets industry;
Experience dealing with securitisations and/or aircraft leasing transactions is also an advantage;
Resourceful, independent and strong problem-solving abilities;
Excellent written and communication skills, with strong ability to plan ahead and organise themselves and others;
Analytical structured mind set with ability to follow and build upon existing processes and ensure data is maintained with accuracy and consistency;
Fluency in English is essential;
