Senior Corporate And Commercial Director/attorney

Our client in the Legal industry is currently looking for a Senior Corporate and Commercial Director/Attorney, in Sandton.

Responsibilities:

Mergers and acquisitions.
Corporate governance.
Drafting Legal due diligence reports and conducting Legal due diligence investigations.
Deal and transaction structuring and/or restructuring.
BEE transactions.
Consortiums and joint venture.
Takeovers filings.
Contract negotiation.
Reviewing, vetting, and drafting transaction documents such as (Subscription Agreements Shareholdersxe2x80x99 Agreements, Shareholder Loan Agreement, Memorandum of Incorporation).
Drafting complex legal agreements.
Corporate finance - Reviewing, vetting, and drafting Finance Documents (such as, Senior and Mezzanine and Security Documents).
High level tax law.
High level competition law and drafting merger notifications and liaising with the competition authorities and deal with the full spectrum of competition law.
Advising JSE listed companies.
Conducting training, regulatory work and workshops.
Writing articles and publications.

Requirements:

LLB Degree.
Masterxe2x80x99s Degree in Banking and Finance and/or Corporate Law would be an advantage.
Minimum 8 - 10 years post admission experience most of which must have been spent in a commercial law firm.
