Legal Manager - Cape TownDivision : GRPDirection : Renewables InternationalJob TitleLegal ManagerSituation in organizationN+1 Job Title: TotalEnergies Renewables International Managing Director South AfricaN+2 Job Title : TotalEnergies Marketing South Africa MD & CEO South AfricaJob dimensionsActivitiesOur TOTALENERGIES RENEWABLES hub in South Africa is seeking for a permanent position a Legal Counsel to join our growing South African operations.Based in Cape Town, you will provide legal advice and assistance to Total Energies Renewables wind and solar business and in particular to the multidisciplinary teams in charge of the development, investment, the construction and the operation of renewable energy projects (mainly IPP).Your main responsibilities will be, under the supervision of the Head of Legal of TotalEnergies Renewables Onshore Activities to:anticipate the risks and legal needs, alert, advise and propose appropriate solutions;write and negotiate a wide range of contracts (confidentiality agreements, letters of intent; memorandum of understanding, partnership agreements; joint development agreement, shareholders agreements, EPC contracts, O&M agreements; land agreements, acquisition and sale of assets, share purchase agreements, project finance agreements) and participate actively in their negotiation;prepare the legal documentation for the response to calls for tenders for renewable projects and follow the legal aspects of such projects once awarded (creation or participation in joint ventures, implementation of agreements);support the business development, project development, construction and asset management teams;analyze and interpret new regulations within the Country;coordinate and supervise the work of the external law firms which will be appointed applying the TotalEnergies group policies for law firms;support in the incorporation and establishments of project companies and affiliate in the Country;follow the claims and litigation (if any) associated with the portfolio of projects in liaison with the Head of Legal of TotalEnergies Renewables Onshore Activities and the Headquarters Litigation Department;Contribute to the legal reporting of TotalEnergies Renewables and prepare the relevant documents for the internal committees, under the supervision of the Head of Legal of TotalEnergies Renewables Onshore Activities;contribute to the development of training and guidelines to the operational teams with the support of the law firms and the headquartersparticipate, under the supervision of the Head of Legal of REN INT, to the implementation and evolution of TotalEnergies Renewables International contractual policy and the standardization of contractual documents.Ensure compliance with Group corporate policies applicable within your field of responsibilityimplement a culture of compliance and integrity;Context and environmentPart of the Groups position in the field of the renewable energies and its commitment to control global warming, TotalEnergies Renewables International business is materialized by the emergence of an important number of commercial, technical and industrial developments large scale projects worldwide as well as by the acquisition and the sale of equity interests. Inhouse experience is a must.Experience in transversal project management desirable as well as in working within a multinational company.Pragmatic, solution oriented, you will have to be well organized, must be able to adapt quickly to the changes in the projects environment and to complex and various situations.
