Job Summary Introduction A Multinational FMCG Company based in Johannesburg is seeking a Legal Director. Reporting to the General Manager Market (also Regional Legal), the primary responsibility is to drive departmental strategic objectives and manage legal departmental activities for all of the South Africa businesses, including South Africa, Botswana, Namibia, Lesotho, Swaziland, Maldives, Mauritius, and La Rxc3xa9union. This role involves providing legal advice and guidance to the Market management teams and acting as Company Secretary to ensure good corporate governance. The Legal Director oversees compliance with regulatory requirements and behavioural commitments and supports the establishment and development of local entities where the company operates or wishes to expand Duties & Responsibilities Government Legislation and Industry Monitoring Stay abreast with government legislation and developments in the industry locally and globally. Provide input into strategies with regard to implications. Liaise with HQ, Legal, and SRA, and local external legal counsel to produce opinions, submissions, reports, and communication to the business. Legal Advice and Risk Management Provide legal advice at the general management level for both factory and market. Ensure business objectives are achieved while managing legal and reputational risk. Manage litigation and represent the company at labour disputes. Corporate Governance and Secretarial Duties Act as a custodian of Corporate Governance. Manage contract and company secretarial management. Draft, review, and analyse legal/commercial documents. Stakeholder Relationship Management Work with CA&C and the GM to establish and develop relationships with external stakeholders. Corporate Governance and Compliance Ensure proper corporate controls and policies are implemented. Manage the efficient tax/legal structure of financing the entity. Initiate/execute amendments to articles of association and internal by-laws. Commercial Agreements Draft and negotiate commercial agreements, including complex and high-value legal matters. Support day-to-day market business, including trading, supply, purchasing, and distribution agreements. Legal Compliance Ensure and audit compliance of activities with policies and procedures, JSOX, and binding national laws. Participate in the legal analysis of projects and manage them to achieve compliance with legislation, particularly with competition laws. Execute Corporate Compliance activities in South East Africa. Desired Experience & Qualification Education: University degree in law, at least 10 years of holding attorney at law/advocate status. Work Experience : Minimum 12 years of legal experience within either an international corporation as in-house counsel or a commercial law firm. Excellent understanding of the legal system, especially in the tobacco, FMCG, or travel retail industry, is highly desirable. Languages & Computer Skills : High level of fluency in English, with superb written and verbal skills, and highly computer literate.
