Job Title: GROUP LEGAL EXECUTIVE Country: South Africa Area: Gauteng Germiston, GP Monthly Salary: Market Related Industry: Mining / Petroleum BEE Group Legal Executive- reports to GROUP CHIEF EXECUTIVE OFFICER To lead the strategic legal function across the group by advising the Board, Group Chief Executive Officer and the executive team on all legal, regulatory, and compliance matters. This includes developing and overseeing the legal strategy, governance, contract management, litigation, regulatory compliance, legal risk, and promoting a culture of ethical and legally compliant business operations. Direct Reports: Senior Legal Advisor x2 Company Secretary Legal Secretary Legal Strategy and Governance Develop and implement a proactive legal strategy aligned to corporate objectives. Advise Board and Executives on governance, compliance, and legislative impacts. Ensure compliance with all applicable laws and corporate governance best practices. Oversee the Board of Directors and Executive Management compliance to statutory requirements. Protect the organisation's reputation. Draft legal opinions, agreements. Manage board and committee meetings, including agenda planning, minute taking, annual work plans, and director induction and training. Contract Management Draft, review, and negotiate complex commercial contracts. Maintain standardised templates for contracts and service-level agreements. Ensure contract compliance and mitigate exposure through effective oversight. Advises on cross-border legal matter related to companies associated with Interwaste and the Seche Group. Advises on critical contractual commitments including projects under design or development, property management, IT software, intellectual property, 3rd Party Off-takers terms and conditions and policies. Regulatory Compliance Monitor, interpret, and advise on industry-relevant laws and regulations.Design and implement systems to ensure ongoing legal compliance from a governance perspective such as anti-bribery and corruption and POPIA.Manage relationships with regulators and represent the company in official engagements if required. Litigation and Dispute Resolution Manage litigation processes and external counsel relationships. Leads litigation settlements with companies under litigation or business rescue in line with the mandate granted. Strategise dispute resolution through negotiation, arbitration, or mediation. Maintain accurate legal case records and reports. Legal Risk Management Identify potential legal risks and develop mitigation strategies to protect the company's interests. Conduct legal risk assessments and provide guidance on risk management practices. Integrate legal risk considerations into all business processes through collaborating. Lead legal input in enterprise risk assessments. Manage crises such as safety, process regulatory notices and engage national departments, clients, contractors and employees. Team Leadership and Development Lead and manage the legal department, including talent sourcing, on-boarding, coaching, and performance management of Staff. Foster a culture of legal compliance and ethical behaviour throughout the organisation. Enhance legal awareness and understanding by providing the necessary training. Build legal literacy across the organisation. Required Skills Contract drafting, negotiation, and dispute resolution Corporate and commercial law expertise Strong knowledge of South African regulatory frameworks (NEM:WA, OHS Act, Labour Relations Act, Companies Act) and relevant Acts of Law or regulations for external partnerships Legal research and policy interpretation Litigation management and interface with external counsel Governance, ethics, and company secretarial functions Regulatory filings and licensing in conjunction with the lead function; Operations, Facilities, HR, SHERQ Qualifications LLB Degree (Required) Admitted Attorney or Advocate of the High Court (Advantageous) Master's degree in Commercial Law, Environmental Law, or Corporate Governance (Advantageous) Certificate in Compliance Management, Contract Law, or Corporate Governance (Beneficial) Experience A minimum of 15 years in-house experience. 6 to 10 years as Group Legal Executive. Extensive experience in corporate and commercial law, preferably within the waste management or environmental services industry. Strong knowledge of environmental, health and safety, and waste management legislation. Proven track record in managing complex legal matters and providing strategic legal counsel to senior management and the Board of Directors
