Position Title: Group Financial Director



Department: Executive Committee (Exco)



Reports to: Group CEO / Board of Directors



1. ROLE PURPOSE



The Group Financial Director is a strategic Exco member responsible for the Group's financial strategy, governance, compliance, and performance across

all business divisions

, specifically:

BPO Division (Call Centres)

Projects Division

Patisserie De France Division


The FD ensures full compliance with all statutory, labour, tax, payroll, and audit requirements across each division, including adherence to

BCEA, LRA, EEA, OHSA, SD9, UIA, SDA, ESA, PEPUDA

Companies Act

SARS

, and

IFRS

.
The FD ensures consistent governance frameworks across divisions, drives financial integrity, leads audits, and ensures business sustainability.

2. KEY RESPONSIBILITIES



A. Strategic Leadership



Provide Executive leadership and strategic financial direction to the Group. Influence commercial decisions across all three divisions, ensuring alignment to Group strategy. Participate actively in Exco and Board committees.

B. Financial Management, Reporting & Governance



Lead all financial reporting, budgeting, forecasting, and governance for the

BPO, Projects, and Patisserie De France

divisions. Ensure consolidation accuracy and compliance with IFRS and Companies Act. Oversee centralized and division-specific finance operations to ensure standardisation and compliance. Manage internal controls across all divisions and ensure governance frameworks are implemented consistently.

C. Payroll Governance, TAX, IRP5 & HR-Finance Integration

Oversee Group-wide payroll compliance across each division, ensuring adherence to SARS and labour legislation. Ensure EMP201/EMP501 submissions, PAYE/UIF/SDL compliance, and IRP5/IT3(a) accuracy across all entities. Ensure payroll governance, system controls, and alignment with HR practices in all three divisions.

D. Audit Oversight & Compliance Across All Divisions

The Group Financial Director assumes full responsibility for

audit readiness, audit coordination, and compliance execution

for the following business units:

1. BPO Division (Call Centres)



Ensure audit compliance for high-volume payroll, workforce management, incentive structures, overtime, and BCEA/LRA adherence. Oversee financial and operational audit controls relating to client billing, service-level reporting, and contracts. Ensure compliance with data security, POPIA, and call-centre-specific governance obligations where applicable.

2. Projects Division



Oversee audit compliance regarding project-based costing, revenue recognition, contract management, CapEx/OpEx tracking, and IFRS 15 / IFRS 16 implications. Ensure financial controls for procurement, supplier payments, materials, and project milestone billing. Ensure compliance with labour and safety obligations (OHSA and relevant SD9 requirements).

3. Patisserie De France Division



Oversee audit compliance for retail/manufacturing financial cycles including inventory, wastage controls, cost of sales, stock management, and point-of-sale reconciliations. Ensure controls in food production environments align with financial governance, payroll compliance, and labour law. Oversee adherence to VAT, cash handling procedures, supplier governance, and food-industry related financial controls.

Group-Level Audit Responsibilities



Lead the annual external audit process for the consolidated Group and all divisions. Ensure internal audit plans are developed, implemented, and monitored across all units. Ensure audit findings are addressed with strong corrective action plans. Maintain consistent governance frameworks and control environments across divisions. Report audit and compliance outcomes to the CEO, Exco, and Board/Audit Committee.

E. Risk Management & Regulatory Compliance



Own group risk registers across all three divisions. Ensure compliance with financial, labour, tax, and operational regulations. Standardise compliance frameworks across the Group while accommodating division-specific regulatory needs.

F. People Leadership



Lead and mentor the Finance, Payroll, and Compliance teams across all divisions. Build capacity and ensure succession planning in each business unit. Promote an ethical culture across the organisation.

3. QUALIFICATIONS & EXPERIENCE



CA(SA)

- mandatory 10-15 years senior financial leadership (Exco/Board experience required) Proven experience overseeing audits and compliance across multiple divisions or business units Strong retail/manufacturing, project-based, or BPO/call-centre experience advantageous Expertise in payroll governance, tax compliance, IFRS, and multi-entity consolidation
