Job Description


Our client is situated in Corobay Corner Office Park (Menlyn Maine), and is looking for an Registered Company Secretary.

The ideal candidate will be someone that is looking to work in the corporate environment.

Area: Pretoria

Salary: R60 000- R70 000 Gross/ CTC (including benefits).

Benefits: Medical aid and Retirement Annuity.

Working hours: Monday to Friday- 8h00 to16h30

Closing date: End Oct 2023

Requirements:

  • Bachelors Degree in Commerce/Law or related field+ Chartered Secretary qualification;
  • Working experience as a Company Secretary, Company Governance or related field.
Duties will include but not limited to:

Compliance Management:
  • Ensuring the company complies with the Companies Act, 2008, and other relevant legislation.
  • Maintaining statutory registers and records, such as the register of shareholders and directors.
Board Support:
  • Facilitating and attending board and committee meetings.
  • Preparing and distributing board packs and agendas.
  • Recording minutes of meetings and ensuring their accuracy.
Filing and Reporting:
  • Submitting required documents and annual returns to the Companies and Intellectual Property Commission (CIPC).
  • Preparing and filing statutory financial statements and reports.
Communication and Disclosure:
  • Handling communication between the company and its shareholders, including managing shareholder correspondence and queries.
  • Ensuring timely and accurate disclosure of information to shareholders and regulatory authorities.
Corporate Governance:
  • Advising the board on corporate governance best practices.
  • Assisting in the development and implementation of corporate governance policies and procedures.
Shareholder Relations:
  • Facilitating shareholder meetings, such as annual general meetings (AGMs).
  • Managing the proxy voting process for shareholders who cannot attend meetings in person.
Regulatory Updates:
  • Keeping abreast of changes in South African corporate law and regulations.
  • Advising the board and executive team on the implications of regulatory changes.
Record-Keeping:
  • Maintaining and updating the company's minute books, share registers, and other essential records.
Legal Compliance:
  • Monitoring changes in legislation that may affect the company's operations and compliance requirements.
Ethics and Integrity:
  • Promoting ethical conduct and compliance with the company's code of ethics and values.
