Job Description


KEY PERFORMANCE AREAS:
DEVELOPMENT AND IMPLEMENTATION OF STRATEGY
Develop corporate governance strategy and cascades the implementation process.
Ensures the tracking, evaluation, and monitoring of company Board governance and compliance issues and gives appropriate feedback to principals.
BUSINESS OPERATIONAL EFFICIENCY
Compile and manage the Company Secretariat budget.
Ensures the development and implementation of internal business processes that are relevant to the departments operations value chain.
Administration of the companys subsidiaries to ensure compliance with the Companies Act requirements.
Effective administration of the Access to Information Act.
Provide support with the execution of Corporate strategy by ensuring that Board and Exco decisions and instructions are clearly communicated to the relevant parties.
Manage the co-ordination, organisation and convening of meetings and workshops of the Board, its committees, Group and the Operations committees.
Ensure effective development and induction of Board members.
Ensure the effective management of all documentation regarding Board and Exco activities for easy access on request.
FINANCIAL MANAGEMENT
Ensures monitoring and reporting on the operational risk and compliance profile as related to the company Foundation.
Ensures monitoring of KRI's (Key Results Indicators) and controls weaknesses for trending analysis
Ensures the development and review of internal control measures to ensure good governance.
Oversee the management of risks to protect organisational integrity, create value, prevent financial loss and ensure compliance with applicable policies and legislations.
Develop, review and implement policies and good governance to address gaps and promote accountability.
Monitor and ensure compliance with relevant legislation and codes of ethical conduct affecting the company's governance environment
Keep abreast of developments regarding corporate governance and advise Group Executive as to their duties, responsibilities and personal obligations
Ensuring an awareness within the Corporation regarding legislation and regulations affecting governance and relevant to the company
Monitor compliance in line with OHS Act.
Review and implement Risk Management Plan in line with organizational Risk Framework:

Monitoring and Evaluation
Monitor execution of internal risk audits per checklist to identify and address gaps and provide execution of mitigation strategies.
GOVERNANCE & RISK
Develop and monitor implementation of internal control measures to ensure good governance.
Instil a culture of corporate governance in the Division.
Monitor execution of internal risk audits and address gaps.
Develop, review and implement Corporate Affairs policies and good governance to address gaps and promote accountability.
STAKEHOLDER MANAGEMENT
Champion the business partner relationship constantly seeking out ways of adding further value to the business through collaboration, coaching, education and appreciation of the business priorities.
Creating value in each customer / stakeholder interaction and focusing on the total customer experience.
LEADERSHIP AND PEOPLE MANAGEMENT
Effective implementation of Performance Management System in accordance with organizational policy and procedures.
Ensure adequate staffing for workload, succession planning and effective leadership.
Effective briefing and communication with department staff
Career Development Plans (CDP) for all staff members.
Provide direction on the retention and attraction of staff.
MINIMUM REQUIREMENTS:
QUALIFICATIONS
LLB / or Professional Chartered Secretary South Africa (CSSA) (NQF8) or relevant Post Graduate Qualifications
EXPERIENCE
10 Years Experience in a Company Secretary Environment of which five years should be at a Deputy/ Assistant Company Secretary level and experience in leading a team.
