STADIO Corporate Services is inviting applications for the position of: Company Secretary Assistant
The head:
executive support and governance fulfils the role of the Company Secretary of the listed company as well as works in the office of the CEO on key strategic projects, whilst also assisting with investor relations and sustainability reporting. This is an important role and the individual who is appointed as the assistant to this role will be exposed to strategic thinking in running a successful listed entity whilst also managing higher education institutions that fulfil a huge need in our country.
Purpose:
To provide support to the Head:
Executive Support and Governance in managing specific aspects of the group's company secretarial and executive support functions, and other key strategic projects managed across the group, from the CEO's office.
Key roles and responsibilities:
Perform various company secretarial tasks involved in running a successful listed entity, including:
Preparation and circulation of minutes and resolutions for key approvals
Preparation of board and executive meeting packs and some reports, as required
Maintain and update the STADIO holdings website to ensure it remains professional, relevant and up to date
Assist in managing the key relationship with the STADIO Holdings Board of Directors
Assist with the collation, preparation and review of information required for the Integrated Annual Report
Project manage the B-BBEE audit across the Group
Sustainability r eporting
Continued improvement and implementation of Group's ESG strategy
Collate ESG metrics as required for disclosure and maintaining the ESG matrix
Corporate Governance
Ensure CIPC reporting is up to date, including beneficial ownership
Update / create policies as required
Assist with running successful AGM
Maintain Company Share Register
Fulfil various tasks and provide administrative support as required including, inter alia:
Managing Khulisa Student Share Scheme information together with the JSE Investor Services (JIS) - the Khulisa Student Share Scheme is the first such scheme in Africa, if not the world, where we give our postgraduate graduates shares in STADIO Holdings upon graduation
Assist in managing the STADIO Kusasa Bursary Scheme
Assist with external and internal audit
Fulfil various selected tasks and provide administrative support to the CEO and CFO as required
Fulfil various selected tasks as part of other strategic projects driven out of the office of the CEO or other EXCO agreed projects
Minimum requirements:
Newly qualified Chartered Accountant or equivalent; or
3 years + experience fulfilling aspects of a company secretarial or equivalent function.
Knowledge:
Excellent knowledge of document preparation and layout
Knowledge of meeting procedure and minute taking
Basic knowledge of JSE governance or company legal requirements is desirable.
Basic knowledge of BBBEE legislation is desirable.

Ability to deal with confidential and sensitive information with extreme discretion and integrity
Able to listen, absorb and concisely translate verbal discussions and information into written information, extracting sailent features
Excellent English literacy and writing skills
Advanced Excel and Word skills
Good Powerpoint and presentation skills
Good communication skills
Manage stakeholder relationships in particular at Board and Executive level
Ability to be flexible and adjust to change
Good attention to detail

Calm and methodical, with a professional demeanor
