Are you a seasoned legal professional with a passion for high-impact investment transactions?
A leading public sector asset management firm is seeking a dynamic Senior Legal Advisor - Unlisted Legal to join their investment legal team. This role offers the opportunity to work on complex, high-value transactions across Sub-Saharan Africa, including private equity, project finance, and structured investments.
The successful candidate will play a vital role in providing strategic legal advice on corporate and commercial matters, supporting unlisted investment deals, and managing legal risk across multiple jurisdictions.
Key Responsibilities:

• Draft, review, and negotiate corporate, commercial, and finance-related agreements
• Structure and manage complex unlisted transactions (debt funding, M&A, project finance, private equity, etc.)
• Conduct legal due diligence and provide legal opinions
• Provide advisory on investment legislation and assist with implementation
• Manage external legal counsel and oversee litigation or arbitration matters
• Support post-transaction management processes, including disbursements and valuations
• Provide legal training and supervise junior legal professionals
• Advise on regulatory compliance, including FAIS and competition law

Key Requirements:

• LLB and admission as an attorney of the High Court
• 6-8 years' post-admission experience in corporate/commercial law, ideally in investment or financial services
• Proven experience in managing unlisted transactions across Sub-Saharan Africa
• Solid understanding of equity, debt, and mezzanine structures
• Excellent negotiation, research, and drafting skills
• Strong commercial acumen and the ability to manage complex legal projects
