Lexdan Select is assisting a fast growing financial services business with their search for a in-house legal counsel. They have operations in numerous countries throughout SSA.
he focus of the work is transactional, and we are therefore searching for a candidate with banking & finance experience at a law firm, or as in-house legal at a Bank.
Functions:

• assisting with drafting and reviewing term sheets, funding agreements, security agreements, intercreditor agreements and shareholder agreements
• Assist with equity and debt fundraising
• Draft all necessary internal resolutions (boards, shareholders, etc.) and external approvals to ensure all necessary approvals from both internal and external stakeholders.
• Take responsibility for transaction closing management of high-value lending and financing transactions.
• Reviewing compliance with undertakings and conditions in funding agreements.
• Support due diligence processes and legal documentation for significant corporate transactions.
• Assist with corporate governance matters, including board meetings, shareholder agreements, and corporate filings.

Requirements:

• LLB degree
• Minimum 3 years post articles experience
• Experience within a Banking team at a firm, or as in-house counsel at a Bank
• experience in Finance transactions
