Job Description
Job Summary he focus of the work is transactional, and we are therefore searching for a candidate with banking & finance experience at a law firm, or as in-house legal at a Bank.
Functions:
- assisting with drafting and reviewing term sheets, funding agreements, security agreements, intercreditor agreements and shareholder agreements
- Assist with equity and debt fundraising
- Draft all necessary internal resolutions (boards, shareholders, etc.) and external approvals to ensure all necessary approvals from both internal and external stakeholders.
- Take responsibility for transaction closing management of high-value lending and financing transactions.
- Reviewing compliance with undertakings and conditions in funding agreements.
- Support due diligence processes and legal documentation for significant corporate transactions.
- Assist with corporate governance matters, including board meetings, shareholder agreements, and corporate filings.
- LLB degree
- Minimum 3 years post articles experience
- Experience within a Banking team at a firm, or as in-house counsel at a Bank
- experience in Finance transactions
