Job Description

Overview:- Our client is a freight management and logistics company, looking for a Legal and Compliance Officer to oversee the day-to-day compliance of the company, and assist in all areas of the business to ensure that the business is fully compliant with all regulations as well as internal policies. The position reports directly to the MD/CEO and the candidate must be willing to get involved on a practical level in the business.
Duties and Responsibilities:
File, collate and record all company documents.
Draft and amend companys constitutive documents as and when required (MOI etc);
Ensure corporate governance and compliance with the Companies Act;
Draft and implement all commercial contracts/agreements for and behalf of the company.
Vet, amend and approve group vendor agreements.
Supplier management and approval.
Vet and approve all credit and trade finance applications.
Draft and prepare legal security documents as and when required by the credit underwriters.
Ongoing assessment of debtors and validity of securities to ensure compliance with credit insurance;
Assist CFO with customer credit management (shipping and trade finance) and assess risks on an ongoing basis;
Conduct credit checks;
Ongoing debtor management and debt recovery;
Ensure overall compliance with company policies and procedures;
Assist with employment disputes & represent the company in disciplinary hearings and CCMA matters;
Drafting and vetting company policies to ensure they comply with relevant legislation;
Engaging with landlords, including drafting and vetting of lease agreements and renewals;
Drafting of company resolutions and other company docs;
Assist with secretarial duties in conjunction with the companys appointed auditors;
Attend all director & shareholder meetings;
Alternative dispute resolution with debtor and creditors;
Updating all company document templates as and when required;
Proof-read certain documentation and correspondence on behalf of CEO /CFO;
Vet, amend and approve all International Agency Agreements;
Handle all litigation matters on behalf of the company together with instructing attorneys;
Ongoing legal research and advice;
Assist the Customs Manager with customs license renewals and supporting documents as and when requested by SARS;
Assist with the management, co-ordination and implementation of all occupational health and safety rules;
Ongoing POPI implementation and management with the assistance of HR manager;
Head up the management, planning and co-ordination of the companys BEE structure and compliance with the assistance of the Companys appointed BEE consultant, in order to achieve and maintain a BEE level 2 at the companys annual BEE audit or a lower level (if practically and reasonably achievable);
Maintain, file and collate the companys insurance policies together with the CFO in order to ensure effective risk control and cost management;
Continuously monitor, diarize, plan and manage the companys various accreditations, certificates and permits to ensure validity each year, which shall include an element of oversight and management of certain managerial roles to ensure their departments are maintaining compliance where necessary;
Identify risks where possible and advise MANCO on an ongoing basis in this regard.
Critical items such as BEE compliance are to be monitored and referred to the board of directors and/or the CEO where risks are identified and require action; and Ad hoc duties as required.
Qualifications & Experience:
Law Degree (BA Law / BCom/ LLB)
Completed articles and has experience in commercial law, contract drafting and review, and management of service level agreements.
Excellent negotiating, drafting and communication skills.
Deadline driven individual with excellent time management skills
Working knowledge of Companies Act, POPI, Labour Legislation, Consumer Protection Act and the National Credit Act.
Ability to work independently and under pressure.
Trustworthy and ability to deal with confidential matters.
