Researching, analyzing, and interpreting proposed and existing laws, statutes, and regulations
Identifying, evaluating, and addressing issues of legal risk
Preparing corporate documentation (by-laws, minutes of shareholder and board meetings...)
Structuring, drafting, negotiating and/or approving legal contracts, policies and other documents related to a variety of trade, commercial, financial, and operational matters
May advocate for an organization in pre litigation and/ or litigation, arbitration, mediation or other disputes with courts, government agencies, or other legal authorities
In-house legal counsel may also be accountable for liaising with external legal counsel on complex legal issues
Ensuring respect of intellectual property process (registering, checks on the titles, checks of the availability, defending property against other organizations and peoples)
May be involved in business transactions or negotiations related to establishing or dissolving a business, merging two businesses, creating contracts, establishing non-compete clauses or changing a business's organizational structure
Requirements (Diploma and experience) :
Commercial Degree (Legal or Finance)
Proficiency in English and Afrikaans communication (verbal and written communication)
Skills :
10 Years experience in Legal/Finance
Contract and Company Statutory requirement knowledge
Understanding of main business drivers
Knowledge of Commercial Legislation (Companies-, Competition-, Consumer Protection-, Protection of Personal Information Act)
Above Average general, political, socio economic knowledge
Portfolio of Specialist Service providers
Area of Responsibility 1: Financial Governance
Compliance with International Regulations and Legislation
Maintain Statutory Records
Prepare and Maintenance of Annual General Meetings
Preparation and Maintenance of Resolutions
Collation of Accounts and Compliance of Legislation
Ensure Access to Company Records
Running of all functionality relating to Registered office
Security of Company Statutory Documentation
Validation of Statutory Documents (MOI), and update in line with VB France requirements, if required
Area of Responsibility 2: Legal Compliance
All Distribution, Export Agreements, Sale or Purchase of IP negotiated and agreed in line with Regional Legal Requirements
Record Keeping of all of Distribution, Export Agreements, Sale or Purchase of IP Agreements
With Regional Legal Standardise Export Agreements
Contract Negotiation when Required
Prepare all NDA's on prescribed form and confirm any deviation or alternative proposal with Regional Legal
Implementation of Global Commercial Compliance Policies
Monitor Conflict of Interest.
Keep Regional Legal informed of all pending legal matters, co-ordination and drive resolution of those
Provide assistance for negotiating complicated/disputed insurance claims
Compliance and implementation of all requirements of commercial legislation
(Companies Act, Competition Act, Consumer Protection Act, Protection of Personal
Information Act, etc.)
Area of Responsibility 3: Tax Compliance
Prepare preliminary and Annual Company tax submissions
Check Annual Tax calculation with KPMG tax consultants and ensure timeous payment
Reply and prepare submissions to all SARS queries as a result
Apply for Value Determination Numbers (VDN) and notify SARS of any changes
Application for approval for payment of all Management fees and foreign Royalties (DTI, Reserve Bank, SARS)
Submit all documents to comply with Company Tax regulations, iro dividend payments and withholding Taxes
Keep all updated interco service and distribution agreements to comply with Transfer Pricing policies,
Arrange for update of Transfer Pricing Policies if required
Monitor tax compliance of various departments through tax clearance certificates, report and propose corrective action
Area of Responsibility 4: Technology and Information
Through research, stay updated with the latest digital trends.
Identify the digital trends that would impact the business information and technology strategy, communicate with LT team and effected managers
Propose options and projects to address,
Ensure that the projects under direct control deliver the desired outputs and participate in other projects where required.
Guidance to IT Department to align with future business requirements
Through the use of internal data available, new data generated as a result of new projects, and external data available, build market
research function, that can validate the current business strategy and advise on improvements
Continuously check integrity of Commission system, investigate malfunctions, implement actions to prevent or address possible
miscalculations.
Area of Responsibility 5: SPM and Strategic Initiatives
Support Khathalele Business Model - Compliance of Statutory Requirements, Set up support structures for HR and Finance, Work with
Business Support team to create Sustainable Business Model
Support Export Drive - Distribution Agreements, Assist with Administration and/or Employment difficulties
Rationalisation of Rebate agreements
Build Financial Models and give accounting advise on improvement in profitability.
Prepare Socio Economic Overview for SPM.
Compile BBBEE scorecard if required
Area of Responsibility 6: People Management
Maintain appropriate organisational structure to meet output requirements within the department
Ensure continuous upskilling of team's knowledge of relevant new technologies
Ensure motivated, well trained and informed team.
Ensure regular performance review and feedback to maximize potential.
Train staff on raising organisational awareness and knowledge of subject matter
Efficient allocation of resources to meet business requirements
PERF management process
Efficient feedback as and when required i.e. meetings, workshops, conferences
Area of Responsibility 7: Participation and Leadership at Executive level
Meet monthly to focus on strategic development and operational execution
Report monthly on departmental KRA's in dashboard format, highlighting successes and challenges to business.
Recommend corrective action
Monitor monthly progress in terms of execution of key strategies across company
Provide key departmental input for inclusion in Virbac RSA SPM to CFO and local financial team
colleagues on leadership team
Communicate with one voice from leadership team to rest of company
Challenge process, procedures, systems and propose improvements through better use of existing and new technologies
Monitor and report on improvements
