A starting annual total cost to company package of R 1 862 650.39 (negotiable commensurate with experience)




Please note that this position is available on a five (5) year fixed-term contract, renewable.




Introduction:





The Competition Commission (Commission) is a statutory body constituted in terms of the Competition Act, No. 89 of 1998 (the Act). It is one of three independent competition regulatory authorities established in terms of the Act, with the other two being the Competition Tribunal and the Competition Appeal Court. The Commission is empowered by the Competition Act to investigate, control and evaluate restrictive business practices, abuse of dominant positions, mergers, undertake market inquiries and advocacy in order to achieve equity and efficiency in the South African economy. The Commission is a public entity listed in schedule 3A of the Public Finance Management Act (PFMA) and acts in compliance with section 217 of the Constitution of South Africa and applicable Public Procurement Regulations and Prescripts.




The Role:





Reporting to the Commissioner, the Company Secretary provides professional assistance to the Commissioner, the Commission and Exco with regard to the Commission's compliance with corporate governance, reporting requirements. In addition to this, the role plays a critical role in the preparation and management of the Commission's budget and acts as Strategy Coordinator in managing the development, implementation and evaluation of the Commission's strategic & business plan.


Key Accountabilities




The main responsibilities of the incumbent will, amongst other, include:




Strategic Management, Leadership & Planning





Drive and coordinate the Commissioner's Office by leading strategic planning, managing budgets and reports, and ensuring effective participation in committees, workshops, and annual reporting processes. Manage the development, implementation and evaluation of the strategic plan of the Commission coordinating strategic workshops. Assist in strategically identifying projects


Corporate Governance & Compliance





Champion corporate governance by developing, implementing, and monitoring policies to ensure alignment with best practice, legislative compliance, and risk management standards.


Committee & Stakeholder Management





Oversee the effective operation of committees, provide governance guidance, and maintain strong relationships with internal and external stakeholders. Advise the Commissioner on HR and other strategic issues.


Risk & Audit Oversight





Support internal and external audits, oversee risk management processes, and implement measures to mitigate non-compliance and governance risks.



Administration & Reporting





Ensure efficient administration through accurate filing, preparation of agendas, minutes, and registers, while tracking implementation of Exco decisions and governance policies. Manage the preparation and finalisation of the content of the Annual report in conjunction with the Compliance and Corporate Services divisions. Submit draft to Exco for review prior to finalisation:


Ensure completion of Annual report and compliance to relevant requirements. Submit the Annual report to the auditors and to Parliament.


We are looking for a dynamic, hardworking and a committed individual who meets the following requirements:




BA Law, LLB degree or equivalent qualification. CIS or equivalent qualification. A minimum of 8 years' experience working in a company secretary or corporate governance environment, including proven experience working in and leading multi-disciplinary teams. 10 years plus will be an added advantage. Proven working knowledge of the PFMA, Treasury Regulations and corporate governance Experience in preparing policy related briefings and presenting policy proposals would be advantageous. A strategic thinker with strong analytical, communication and interpersonal skills. Ability to exercise sound judgment, good organisational skills and proven leadership skills/abilities. Flexibility to work overtime and/or irregular hours.
