About us

Fortune Capital Holdings is Cape Town - based holding company focused on acquiring and scaling small to medium sized logistics businesses.

We acquire companies through

seller financing, bank debt, and government funding programs,

targeting businesses generating

R5 million - R10 million in annual revenue.

Our long term goal is to build a

R500 million logistics portfolio

and strategically exit through sales to competitors or private equity firms.

The Role

We are looking for an experienced

M&A Lawyer

to join our executive board as

Chief Lawyer Officer (CLO).

This is an equity based leadership role offering

5 - 10% ownership shares in

Fortune Capital Holdings

The CLO will provide

legal leadership in acquisitions, deal structuring, compliance and contracts,

ensuring that our acquisition strategy is executed smoothly and in full legal compliance.

Key responsibilities

Oversee all

legal aspects of M&A transactions,

including negotiations, deal structuring and contracts. Conduct

legal due diligence

on acquisition targets. Ensure

compliance with South African corporate, tax and regulatory laws

Draft and review

shareholder agreement, purchase agreements and financing documents.

Advise on

risk management and corporate governance

Represent the company in negotiations with sellers, banks, and government agencies Provide legal counsel to the

Board of Directors and CEO

on strategic decisions

Ideal Candidate

LLB degree

(LLM or MBA advantageous)

5 + years of experience

in mergers and acquisition, corporate law or commercial transactions Admission as an

Attorney of the High Court of South Africa preferred

Strong background in deal structuring , contracts and compliance Experience working with banks, government funding programs and private equity firms is an advantage

Retired or senior lawyers with M&A

exposure are encouraged to apply Entrepreneurial mindset and ability to operate as a strategic partner
